Assistant Company Secretary

Cairn Homes plc has a unique and exciting opportunity for an Assistant Company Secretary to join our team. This role will work directly with the Company Secretary to manage company secretarial responsibilities while interfacing with the Board, shareholders, regulators, advisors and other external agencies/bodies.

Responsibilities:

  • Supporting the Company Secretary in the management of company secretarial affairs including supporting the preparation of Board and Committee packs and drafting agendas and minutes where required
  • Co-ordination and maintenance of the Board pack distribution portal, ensuring information remains up-to-date, relevant and accurate
  • Building and maintaining excellent relationships with the Company Directors and all other stakeholders
  • Ensuring that all Directors are aware of their duties as Directors and facilitating the appropriate induction and ongoing training for Directors
  • Responsible for delivering the annual compliance requirements for the Group’s subsidiaries, including maintaining statutory records and preparing statutory forms as required
  • Assist the Company Secretary with PLC compliance requirements to include the Listing Rules, Corporate Governance Codes, the Market Abuse Regulation etc.
  • Drafting of governance sections of the Annual and Sustainability Reports
  • Drafting reports for both internal and external audiences on upcoming regulatory requirements, particularly pertaining to governance and ESG
  • Monitor changes in relevant legislation and the regulatory environment
  • Assist with other ad-hoc items including share plan management, AGM coordination, risk management framework reviews, annual compliance policy reviews and day-to-day execution of documentation/contracts to include obtaining signatures and sealing where applicable
  • Act as support for Group projects as required

The Candidate

  • 3+ years’ previous PLC company secretarial experience
  • Experience of using Diligent platforms advantageous
  • Strong interpersonal skills, working with people at all levels and self-motivated with ability to work proactively and independently, applying discretion when dealing with confidential information
  • Excellent organisational, written and presentation skills
  • Detail orientated with strong attention to accuracy
